Term of Membership

What are the terms of my membership?

Terms of Use and Membership

Please read these terms carefully. These are the terms on which you may use the websites operated by Burnbrae Media Limited ("we" "us" "our"), which include: t1ps.com, WatsHot.com, Zaks-TA.com, UK-Analyst.com, johnpiperstrading.com, unquoted-analyst.com, masterinvestor.co.uk and GECR.co.uk, and the information, content and services available on them (the “websites”).

These terms apply to your use of the websites and all their content irrespective of the delivery platform you use and irrespective of how the content is delivered to you – e.g. via web browser, Mobile Internet browser, email, SMS or otherwise.

By accessing any of the websites you accept, and you agree to comply with, these terms and the terms of our Privacy Policy, which sets out the terms on which we may process your personal data. If you use the websites in the course of your business, you are also agreeing to these terms and conditions on behalf of that business. If you do not agree to these terms (or are not authorised to accept them), you must not use or access our websites. You should print, store or save a copy of these terms for your records.

Access and availability

We do not guarantee that our websites, or any content on them, will always be available or be uninterrupted and we may suspend, withdraw, discontinue or change all or any part of our websites or content without notice or liability to you. We will not be liable to you if for any reason our websites or content are unavailable at any time.

Intellectual Property

All materials, text, code, content, names, logos and other intellectual property on the websites are protected by copyright and other intellectual property rights owned by us or licensed to us and may not be reproduced or otherwise used except as permitted by these terms without our prior written agreement. Any breach of these restrictions may result in your immediate exclusion from the websites and termination of your membership without further obligation to you, and further action may be taken against you.

Membership

On registration, you must provide us with accurate and complete registration information and it is your responsibility to update and maintain changes to that information on the applicable registration pages. This is particularly important if you subscribe to receive any Paid For Services. We are entitled to rely on any information you provide to us.

On registration, you will choose a user name and password (“ID”). Each registration is for a single user only and we do not permit any other person sharing your ID or access through a single ID being made available to multiple users on a network or within an organisation.

You are responsible for all use of the websites made by you (or anyone else using your ID in breach of these terms) and for preventing unauthorised use of your ID. If you believe there has been any breach of security such as the disclosure of, or unauthorised use of, your ID or any payment information, you must notify us immediately by contacting us using the contact details below.

We recommend that you do not select an obvious password (such as your name) and that you change it regularly. If you provide us with an email address that will result in any messages sent to you being routed via a network or device operated or owned by a third party (e.g. your employer or college) you warrant that you are entitled to receive those messages.

Third parties and linking

The websites may contain links to other Internet websites or online and mobile services provided by independent third parties (“Third Party Sites”), either directly or indirectly and which may be co-branded with the websites and may include our trademarks or other intellectual property. We do not endorse any Third Party Sites or third party products or services.

We are not responsible for the availability or content of Third Party Sites and will not be a party to, or in any way responsible for, any transaction concerning goods or services available from such Third Party Sites and our Privacy Policy does not apply to Third Party Sites. Any arrangement made between you and a third party named on or linked to from our websites is at your sole risk and responsibility. If you purchase products or services from a Third Party Site your contract for such products or services will be with the third party and not with us.

The websites may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the websites complies with applicable law and we will not be responsible for any error or inaccuracy in advertising or sponsorship material.

You must not establish (or allow anyone else to establish) a link to any of our websites without our prior written consent.

Paid For Services

We operate “Paid For Services” on the following websites: t1ps.com, WatsHot.com, Zaks-TA.com, johnpiperstrading.com and dealmonitor.co.uk. We reserve the right to vary the Paid For Services or terminate any part of them and we do not guarantee that a Paid For Service will remain a fee-based service in the future, or that a free-of-charge service will remain free-of-charge in the future. We may use third parties to assist in the provision of the Paid For Services.

You agree to pay any subscription fees at the rates in effect when you subscribe to the Paid For Service and you must provide us with complete and accurate payment information. You agree to pay any fees for any of the Paid For Services that you use.

We will try to process your subscription promptly but does not guarantee that the Paid For Services will be available to you by any specified time. We do not make any offer, either to enter into a subscription contract or to provide any other goods or services to you and we reserve the right to

reject any offer requesting our goods or services for any reason and without giving any reason. A contract with you for receipt of the Paid For Services will only come into effect when we confirm this to you in writing.

Your subscription for Paid For Services is on an annual automatically renewing contract to ensure uninterupted access to the websites. You may terminate your annual agreement by giving us not less than 30 days' written notice before your annual renewal date (please see below). We will give you notice if your annual subscription fees are set to increase for the following period.

Payment

Where you have chosen to make a payment by credit card, the fees are payable in advance by way of annual subscription and are non-refundable.

Cheque payments: Where you have chosen to make payment by cheque, the annual subscription fees are payable annually in advance and are non-refundable.

Direct debit payments: If you have chosen to make payment by Direct Debit and you warrant that you are entitled to purchase the Paid For Services using those payment details, you agree to be direct debited on a yearly basis in advance, and agree that the subscription is non-refundable. For a small minority of customers, occasionally the dates of annual direct debits may vary by up to 10 days from one year to the next due to processing procedures.

Cancellation

You may terminate your annual subscription by giving us not less than 30 days' written notice before your annual renewal date. To cancel your annual subscription you must contact us at the details set out below. If you pay by Direct Debit you must also cancel your upcoming Direct Debit by writing to your Bank or Building Society in advance.

If you cancel your subscription you will receive an acknowledgement from us which will confirm your cancellation. If you do NOT receive an acknowledgment from us your subscription may not have been cancelled and you must contact us at the details below.

Unauthorised payments

In the case of unauthorised payments we reserve the right to suspend or terminate your access to the Paid For Services. If we do not receive payment authorisation or any authorisation is subsequently cancelled, we may immediately terminate or suspend your access to any Paid For Services.

Termination

We reserve the right to suspend or terminate your subscription to the Paid For Services or access to the websites if you breach any of these terms, with or without notice and without further obligation to you, and without a refund of any subscription fees. You are not permitted to access any content of the Paid For Services without paying the applicable subscription fee and any attempt to do so is a breach of these terms and may also constitute an offence as a matter of law. We fully reserve all rights we may have to enforce our rights under these terms or at law.

LIABILITY

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM OUR NEGLIGENCE, OR OUR FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXCLUDE ALL CONDITIONS, WARRANTIES, REPRESENTATIONS OR OTHER TERMS, WHETHER EXPRESS OR IMPLIED, WHICH MAY APPLY TO OUR WEBSITES OR ANY CONTENT ON THEM.
